FARGO BOARD OF EDUCATION MINUTES REGULAR MEETING November 22, 2022 The Board of Education of the City of Fargo met in regular session on Tuesday, November 22, 2022, 5:30 p.m., at the District Office in the Board Room, located at 700 7th Street South in Fargo. Members present: Melissa Burkland, Nyamal Dei, Jim Johnson, Katie Christensen Nikkie Gullickson, Robin Nelson, Greg Clark, Seth Holden, Tracie Newman Members absent: none President Newman called the meeting to order at 5:30 p.m. The Pledge of Allegiance was recited. Robin Nelson moved approval of the agenda with the HR addendum that was at the Board’s seats. Nyamal Dei seconded the motion. The motion passed (Yes: Burkland, Christensen, Clark, Dei, Gullickson, Holden, Johnson, Nelson, Newman). Two citizens addressed the Board. Deven Styczynski spoke on Memo #58 and a recent Governance Committee meeting. Paul Mohror spoke on Memo #58. FEA Representative Matt Hallquist shared that the FEA raised $1,500 during the month of November for scholarships that will be awarded to senior students. He also shared that the FEA looks forward to building a negotiations survey with the Communications, Engagement and Advocacy Committee for this negotiations year. Dr. Gandhi shared that the school week is a short week for the District due to the Thanksgiving holiday and break. Robin Nelson moved approval of the Consent Agenda with the addition of the HR Addendum. Seth Holden seconded the motion, which passed (Yes: Burkland, Christensen, Clark, Dei, Gullickson, Holden, Johnson, Nelson, Newman) thereby causing the following actions to be taken: A. The minutes of the regular meeting of November 8 were approved as written. B. The following Human Resources actions were approved: 1. New Hires 2022-23: William Egan, Grade 5 – Centennial, VCSU, BA – 0 (Step 3) – at 100% - $27,698 (121 days) 2. Retirements 2022-23: Karen Hardie, Grade 5 – McKinley, Dates of Employment: 1988-2023, Effective Date: 6/2/2023; William Ibach, Grade 5 – Roosevelt, Dates of Employment: 1994-2023, Effective Date: 6/2/2023 C. The following financial reports were approved: 1. The Fund Balance Report for October 2. The Revenue and Expenditure Reports for October 3. Statement of Bank Reconciliation for October 4. Check register for October President Newman presented Memo #57. The Cass County Career and Technical Education Center (“C3TEC”) is an area career and technical education center established in accordance with North Dakota Century Code (“N.D.C.C.”) ch. 15-20.2. Established in 2014, C3TEC serves four participating school districts: Central Cass Public School District, Fargo Public School District, Northern Cass Public School District, and West Fargo Public School District. The purpose of the Joint Powers Agreement is to formalize the responsibilities of each participating school district and C3TEC with respect to the operation of C3TEC. Jim Johnson moved to approve the Joint Powers Agreement with Cass County Career and Technical Education Center formalizing the responsibilities of each participating school district and C3TEC with respect to the operation of C3TEC. Nikkie Gullickson seconded the motion. Discussion occurred. It was noted that there was a typo on page two of the JPA, that eight members needed to be nine members. Jim Johnson moved to amendment in the agreement as stated. Robin Nelson seconded the motion. Discussion occurred on the amendment. Sanford North (“Sanford”) is the owner of approximately seventy-five acres of unimproved real property located in Cass County, North Dakota (“South Property”). A & T Land Co., LLC (“A&T”) is the owner of approximately sixty-three acres of unimproved real property located in Cass County, North Dakota (“North Property”). The Fargo Public School District (“District”) and Sanford are currently negotiating a separate contract for the acquisition of the South Property. The terms of the Exchange Agreement with A&T are contingent upon the District and Sanford successfully entering into a written agreement for the purchase of the South Property. Upon acquisition of the South Property by the District, the District and A&T desire to exchange ownership of the South Property for the North Property. The District and A&T acknowledge the fair market value of the North Property exceeds the fair market value of the South Property due to the difference in acreage and fair market values of the tracts of land being exchanged. In order to equalize the exchange, the District will pay to A&T an Equalization Payment. The Equalization Payment will be equal to: ([$6.20 per square foot x total square feet of North Property] minus [$3.35 per square foot x total square feet of South Property], plus $435,600.00). The final Equalization Payment will be calculated based upon the actual final total square footage of the South and North Property as determined by a Certificates of Survey. At closing, the District will pay to A&T the Equalization Payment less credit for an unconditional charitable gift to the District in an amount equal to $500,000. Jim Johnson moved to authorize the execution of the Exchange Agreement with A&T for the simultaneous like-kind exchange of real property and payment of an Equalization Payment, less the credit in an amount of $500,000 for an unconditional charitable gift. Robin Nelson seconded the motion. Discussion occurred on the purchase agreement for land for a future school site. It was noted that the Board extends their gratitude to A&T for their reduction price. (Memo #58) Committee & Liaison Reports - An information session was held on November 17 for area legislators. - The Negotiations Committee met on November 14 and meets next on December 1. (Holden) - The Communications, Engagement and Advocacy Committee met on November 18. FEA representatives joined the meeting and discussed ways to work together and collaborate to receive data. (Gullickson) - The Governance Committee met on November 21. (Newman) - Board member meetings/liaison visits: Dei to North High School for liaison visit, Police Department’s Cultural Advisory Committee meeting, North High School’s state football game, meeting with Jennifer Sahr and Dr. Gandhi, and Davies High School orchestra concert; Holden to C3TEC meeting and Washington Elementary School for liaison visit; Nelson to Kennedy for liaison visit; Gullickson to FPS Development Foundation meeting, National PTA webinar on nation’s report card, to NDSBA Lunch and Learn, and Bennett for liaison visit; Christensen to North High School state football game, South High School for paraeducator shadow visit and an English class presentation, and North High School theater production; Newman to Council of School Health meeting, Davies concert and NDSBA Lunch and Learn. President Newman shared she met with FEA President Kim Reger for their regular meeting. The next regular meeting was confirmed for Tuesday, December 13 at 5:30 p.m. at the District Office.
