Notice of Change in Control of Bank Hold

Notice of Change in Control of Bank Holding Company Williams Family 2021 Irrevocable Trust Agreement, Casselton, North Dakota (the “Williams Family Trust”), of which James L. Williams III, Casselton, North Dakota, is the sole trustee, intends to apply to the Federal Reserve Board and the North Dakota Department of Financial Institutions for permission to retain control of 10 percent or more of the shares and thereby control of First Financial Corporation, Arthur, North Dakota (“Company”), and thereby join the Williams Family Group, a group acting in concert which controls 25 percent or more of Company. Additionally, James L. Williams III, individually and as trustee of the Williams Family Trust, intends to apply to the Federal Reserve Board and the North Dakota Department of Financial Institutions for permission to retain control of 25 percent or more of the shares and thereby control of Company. Company controls BankNorth, Arthur, North Dakota. The Federal Reserve considers a number of factors in deciding whether to approve the notice. The procedure for processing the application and factors considered by the North Dakota Department of Financial Institutions are found under Section 6-08-08.1 of the North Dakota Century Code. You are invited to submit comments in writing on this notice to the Federal Reserve Bank of Minneapolis, Attention: Applications Officer, Division of Supervision, Regulation, and Credit, P.O. Box 291, Minneapolis, MN 55480-0291. Comments can also be sent electronically to MA@mpls.frb.org. The comment period will not end before May 31, 2022, and may be somewhat longer.
